Caroline Dekker is an Associate in the Cayman Islands Corporate practice. She represents clients on a wide range of public and private corporate matters, with a particular focus on cross-border mergers and acquisitions and equity capital markets transactions.

Caroline has extensive experience advising on IPOs, SPACs, M&A transactions, venture capital transactions, joint ventures, restructures and corporate governance. In addition, Caroline advises on the formation, regulation and termination of investment funds.

Experience prior to joining Conyers:

  • Advised a top 20 global insurance broker and its subsidiaries on the restructuring of its investment structure, resulting in a US$7.5 billion valuation.
  • Advised a Cayman Islands special purpose acquisition company (“SPAC”) on its US$1.7 billion business combination with a global technology waste and recycling business.
  • Acted as Cayman Islands counsel to a US-based cybersecurity software firm with an enterprise value of approximately US$1.3 billion, on its business combination with a Nasdaq listed SPAC.
  • Advised a large, multinational pharmaceutical company as key shareholder of a British biotechnology company, on the Cayman Islands aspects of a pre-merger restructuring necessary to implement a business combination with a Nasdaq listed SPAC. The combined company subsequently successfully listed on Nasdaq in March 2023.
  • Advised a number of logistics and manufacturing companies based in Asia on all Cayman Islands legal aspects of their respective initial public offerings on Nasdaq, including pre-offering corporate and capital restructures.
  • Advised a number of SPACs on their successful listings on Nasdaq and the New York Stock Exchange.
  • Advised one of New Zealand’s largest listed companies on its NZ$750 million accelerated renounceable entitlement offer. At the time, this transaction was the largest secondary capital raise ever undertaken in New Zealand and was a finalist for Capital Markets Deal of the Year at the 2019 New Zealand Law Awards.
