Experience Highlights

• Acting for a minority shareholder bringing derivative proceedings for and on behalf of a company against its multinational parent company and its present and former directors for breaches of fiduciary duty, including obtaining leave to bring proceedings despite several challenges, resulting in multiple appearances before the Court of Appeal.
• Successfully challenging an attempt by the multinational parent company referenced above from utilising a takeover scheme of arrangement to compel the minority shareholders to sell their shareholdings to the parent company. The scheme, if sanctioned, would have posed a significant threat to the funding of the derivative proceedings by the subject company.
• Acting for a company in circumstances where the CEO of a company sought to take advantage of a corporate vulnerability, which involved the potential purchase of a debt-to-equity swap position in favour of a third party, to the benefit of an equity investment firm of which he was the principal. A settlement was achieved a settlement through strategic correspondence.
• Acting for a minority shareholder and sole executive director in an oppressions action in circumstances where the other directors and shareholders passed several resolutions with the aim of excluding the client from the business and certain financial benefits as the company, which was a special purpose vehicle, was nearing the end of its lifespan. Orders were sought and obtained for the independent management of the company, as it concluded its business.
